1. ACCEPTANCE OF TERMS

By accessing graymerchants.com or submitting any form on the Website, you agree to be bound by these Terms and Conditions. These terms govern the use of the Website and all services offered by MidCore Operations LLC, doing business as Gray Merchants ("Gray Merchants", "we", "us", or "our"). You must be at least 18 years of age to use this Website.

2. DESCRIPTION OF SERVICES

  • 2.1 Merchant Account Placement

    Gray Merchants acts as an Independent Sales Organization (ISO) agent. We facilitate connections between merchants and acquiring banks. We do not issue accounts directly. Approval is subject to bank underwriting; Gray Merchants makes no guarantee of approval.

  • 2.2 Consulting Services

    We provide advisory services for chargeback defense and MID health. We are consultants, not legal or financial counsel. Our advice does not constitute legal advice.

3. NO GUARANTEE OF APPROVAL

Gray Merchants does not guarantee approval for any merchant account application. Approval decisions are made solely by acquiring banks and ISO partners. Gray Merchants is not responsible for declined applications.

4. FEES AND PAYMENT

4.1 Application Fee: Gray Merchants charges $0 setup fees to applicants.

4.2 Rates: Processing rates are set by acquiring banks and disclosed in individual merchant agreements.

4.3 Consulting Fees: Disclosed in separate service agreements. No fees are charged without a signed agreement.

5. USER OBLIGATIONS

By using our services, you agree to:

  • Provide accurate, truthful, and complete information.
  • Not submit fraudulent information (which may constitute federal fraud).
  • Authorize Gray Merchants to share data with bank partners for underwriting.

6. LIMITATION OF LIABILITY

Gray Merchants is not liable for indirect, incidental, special, or consequential damages, including loss of revenue or lost profits resulting from bank decisions or account terminations.

7. INDEMNIFICATION

Users agree to indemnify MidCore Operations LLC from any claims arising from their use of the Website, violation of these Terms, or submission of inaccurate data.

8. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by United States federal law. Disputes shall be resolved through binding arbitration under AAA rules. Users waive the right to participate in class action lawsuits.
